These Terms & Conditions ("Terms") govern your access to and use of the Settlesol platform ("Service"). By registering for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Settlesol provides a finance operations platform that automates invoice chasing and supplier statement reconciliation. You upload CSV or PDF exports from your accounting system; Settlesol processes them and returns results or sends emails on your behalf.

The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or that results will meet your specific requirements. You are responsible for verifying the accuracy of all outputs before relying on them for legal, tax, financial or compliance purposes.

2. Account registration

• You must provide accurate, complete information when registering
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account, including activity by invited team members
• You must notify us immediately at [email protected] of any unauthorised access
• You must be at least 18 years old and authorised to bind the organisation you represent

3. Subscription and billing

Settlesol offers monthly subscriptions (Starter, Professional, Scale). Pricing is displayed at settlesol.com and within the platform.

• Free trial — 14 days free access with Professional-tier limits. No credit card required to start the trial.
• Payment — Subscriptions are billed monthly via Stripe. By subscribing, you authorise Stripe to charge your payment method on the recurring billing date.
• Cancellation — You may cancel at any time from Settings → Billing. Access continues until the end of the current billing period. No partial refunds are issued.
• Failed payments — If payment fails, we will retry. After 7 days of failed retries, your subscription may be suspended or cancelled.
• Price changes — We will give you at least 30 days notice before any price increase. Continued use after the effective date constitutes acceptance.
• Taxes — Prices are exclusive of VAT and other applicable taxes, which will be added at checkout based on your location.

4. Usage limits

Each subscription tier includes monthly limits on invoice chases sent and supplier statements processed. Limits reset on the first day of each calendar month. If you exceed your plan limits, you will be prompted to upgrade. We do not charge overage fees; access to the relevant module will be paused until the next reset or until you upgrade.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law
• Upload data to which you do not have the legal right
• Use the Service to send unsolicited communications (spam)
• Attempt to gain unauthorised access to our systems or another user's account
• Reverse engineer, decompile, or create derivative works from the Service
• Use the Service to harass, defame, or harm any third party
• Share your account credentials with third parties outside your organisation
• Resell, sublicense or commercialise access to the Service without our written consent

6. Your data and our role

You retain ownership of all data you upload or enter into the Service. You grant us a limited licence to process that data solely to provide the Service to you.

Critical — in-memory processing: Settlesol processes uploaded financial files in memory only. The contents of uploaded CSV and PDF files (invoice amounts, customer names, supplier names, balances, references) are never written to our database and are permanently discarded after each processing session.

By proceeding with any live run (invoice chase or supplier statement reconciliation), you confirm that you have reviewed the data, recipients, and outputs and that you accept full responsibility for the accuracy of the data you have uploaded. Settlesol executes live actions solely on your instruction and is not responsible for errors arising from inaccurate, incomplete or unauthorised data uploaded by you.

You are the data controller for any personal data belonging to your customers, suppliers or employees that you process through the Service. We are the data processor. Our Data Processing Agreement governs this relationship.

You warrant that you have the legal right to upload and process all data you submit to the Service, and that doing so does not violate any third party's rights.

7. Intellectual property

Settlesol and its licensors own all intellectual property rights in the Service, including the platform, software, algorithms, design, and documentation. Nothing in these Terms transfers any IP rights to you.

You retain all IP rights in the data you upload. We claim no ownership over your data.

8. Confidentiality

Each party agrees to keep the other's confidential information secure and not to disclose it to third parties without consent, except as required by law. Your financial data processed through the Service is treated as confidential.

10. Limitation of liability

In no event shall Settlesol be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.

These limitations apply to all claims regardless of the legal theory under which they are brought.

Exception: Our liability will not be limited where we are not legally permitted to limit it, including in cases of our own gross negligence, fraud, or wilful misconduct, or for death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless Settlesol and its directors, employees, and contractors from and against any claims, damages, losses, costs (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms or applicable law
• Your uploaded data (including any claim that such data infringes a third party's rights)
• Your breach of any representation or warranty in these Terms
• Chase emails sent using the Service where the content was provided or controlled by you

12. Data loss

Data loss is an inherent risk of any technology service. You are responsible for maintaining copies of all data you submit to the Service. We are not liable for loss of data except as provided in Section 10.

13. Availability

We aim to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance with or without advance notice. We are not liable for downtime caused by events beyond our reasonable control, including third-party service failures, internet outages, or force majeure events.

14. Termination

We may suspend or terminate your account if you materially breach these Terms and fail to remedy the breach within 7 days of notice. You may cancel your subscription at any time from Settings. Upon termination, your access ends at the close of the current billing period (if cancelled) or immediately (if terminated by us for breach). We will retain your account data for 90 days after termination, after which it will be deleted.

15. Changes to these Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. General

• Entire agreement — These Terms, together with our Privacy Policy, DPA, and Cookie Policy, constitute the entire agreement between us
• Severability — If any provision is found unenforceable, the remaining provisions continue in full force
• Waiver — Failure to enforce any provision does not constitute a waiver
• Assignment — You may not assign these Terms without our written consent. We may assign them in connection with a merger or acquisition.
• No agency — Nothing in these Terms creates any agency, partnership, or employment relationship
